New York

Why do I need to publish?
New York’s LLC and Partnership laws require companies to publish their articles of organization, or a notice containing the substance thereof, within 120 days of formation. Failure to do so can result in the suspension of your company’s ability to conduct business in NY.
What are the publishing requirements in NYS?
NYS requires that all new LLCs, PLLCs, LPs, and LLPs publish “once in each week for six successive weeks, in two newspapers of the county in which the office of the limited liability company is located, one newspaper to be printed weekly and one newspaper to be printed daily, to be designated by the county clerk” (Sect 206 of NYS LLC law).
What do I need to provide with my New York order?
The most important part of each order is the NYS Filing Receipt that you received when you originally filed your articles of organization with NYS.  This is required by most County Clerk’s offices in order to obtain a proper newspaper designation. In addition, if you send us a copy of your articles of organization, it enables us to do yet another level of quality control.  Not sure what these documents look like?  Click here for samples!

All other information, your name, contact information, and method of payment, can be provided on our Order Form.

Can't you look up my company on the State Corporation database so I don't have to send you my documents?
No! A copy of the Filing Receipt is REQUIRED by most County Clerks in order to perform their designation. In most cases, and in particular in NY County and the boroughs, simply looking up your information in the Corporations Database DOES NOT comply with NYS statutes, and leaves you and your company potentially exposed from a long-term legal perspective.
Why does TS Associates ask for a copy of the articles of organization when other vendors don't?
Your articles of organization are the official record of the formation of your company. When filed with the State, information from these documents is entered into the State’s database and summarized on your Filing Receipt. The entry of this data into the Filing Receipt is a common source of errors. This Filing Receipt becomes the State’s primary source of information relating to your company. By providing us with your originating documents, we can compare them to your filing receipt and assist you in coordinating any necessary corrections prior to publishing, saving you both time and money.
What happens if I don't follow the state mandated newspaper designation process?

Failure to publish in properly designated newspapers can result in your affidavits of publication being rejected by the NYS Secy. of State’s offices. At best, you would be required to re-publish your notice in the correctly designated newspapers, costing you more than necessary. At worst, your business could be suspended by the State of New York.

**  TS Associates is unique in that we provide PROOF of proper designation if requested. **

How long does the publication process take?
Usually, the entire process can take between 10-12 weeks from receipt of your order through the filing of the Certificate of Publication with the Secy. of State. The majority of orders are sent to the publishers the same day that they are received. In some cases, (typically NY and the boroughs), the County Clerk designation takes between 3-10 business days before the notice can be placed in the papers. Notices run for 6 weeks, after which the affidavit and filing process can take 4-5 weeks.
What can I expect after the publishing is complete in NY?
Each publisher will provide an Affidavit of Publication, containing the notice that was published, and listing the dates of publication in which the notice appeared. These affidavits, notarized by an authorized representative of each newspapers’ publisher, are filed with the Secy. of State’s office, certifying to NYS that your notice was published in accordance with NYS LLC/Partnership laws. Upon acceptance of these affidavits by NYS, the filing process is complete, and a Filing Receipt is issued to you for retention with your permanent business records.

Do I have to publish legal notices when I form an LLC?
No. Pennsylvania state law does not require LLC’s to publish. Currently, this requirement only applies to corporations.
How long does the publishing process typically take?
From the time that we receive your order, it typically takes 4-6 weeks before we can obtain the publishing evidence from the newspapers and send it to you for your permanent business records.
Do I need to file the publishing evidence with the PA Corporation Bureau?
